Successful Deals with PwC: Sale of Allocare to Volaris Group

PwC Switzerland is pleased to announce that it acted as exclusive financial advisor to the shareholders of Allocare Holding AG (“Allocare”), a leading Swiss WealthTech provider of mission-critical software solutions for the wealth and asset management industry, on the sale of 100% of the shares to Volaris Group (“Volaris”), an operating group of Constellation Software Inc. (TSX: CSU).

Founded in 2001 and headquartered in Altishofen (Lucerne), with an additional location in Zurich, Allocare develops and implements integrated software solutions for wealth and asset managers. Its solutions support the mission-critical investment operations of banks, asset and wealth managers, family offices and pension funds across more than 10 countries, covering portfolio management, compliance as well as client and regulatory reporting.

Over more than two decades, Allocare has evolved from a specialist software provider into an integrated financial technology business offering software, data and platform services. The acquisition of Zurich-based FinTech numas, today Allocare Data AG, in 2021 expanded the Group’s offering into data management and platform services. Allocare has established a strong position in the Swiss financial software market, underpinned by its Swiss-developed and Swiss-hosted solutions, deep domain expertise and long-standing relationships with leading asset managers, insurers and major banking institutions, including UBS.

Volaris Group, an operating group of Constellation Software Inc., is a long-term acquirer and operator of vertical market software businesses. Its buy-and-hold model provides acquired businesses with a permanent home, continued operational autonomy and access to a global network of software companies and industry expertise. Volaris today comprises more than 275 businesses across over 40 vertical markets and more than 60 countries.

The transaction represents a compelling strategic fit for both parties. Allocare gains a long-term owner with extensive software expertise and access to an international network of vertical market software businesses, while retaining its established brand, management team and close proximity to clients. For Volaris, the acquisition adds an established Swiss financial software platform with mission-critical solutions, deep sector expertise and a long-standing client base in the wealth and asset management industry.

The transaction closed on 1 October 2026. The parties have agreed not to disclose the financial terms of the transaction.
