Zurich | PwC Corporate Finance acted as lead advisor to the shareholders of Variosystems AG (“Variosystems”) on the sale of a majority stake to Capvis Equity V LP ("Capvis").
Variosystems is an internationally operating electronics service company, which focuses on customized solutions for complex tasks in highly specialized areas.
The company is headquartered in Switzerland, and has production facilities in Switzerland, as well as the US, Sri Lanka and China.
With c. 1,600 employees, Variosystems has generated sales of around CHF 175 million with an industry-leading profitability in the past financial year. The company is one of the largest providers in Switzerland, and among the largest in Europe in its field. Capvis is one of the leading private equity companies in Europe. Capvis Equity Partners AG, advisor of Capvis Equity V LP with a total commitment of EUR 1.2 bn, focuses on majority holdings in leading mid-sized companies. It focuses on regional champions in local markets, and global niche market leaders in manufacturing technology, engineered products and advanced services.
As part of the transaction, the current Co-CEOs will both retain their ownership, continue their roles as CEOs and manage the company for the coming years. A third shareholder will retire his active duties by the end of 2018, however, he will continue performing strategic activities as a member of the Board of Directors.
Capvis plans to use its commitment and capital primarily to invest in the Company's additional growth and to support Variosystems in expanding its strategic competitive advantages.
